What You're Subscribing To

When you select and subscribe to one of our service packages, you are entering into a subscription-based agreement for professional web development and digital marketing services. Your subscription includes all services outlined in your chosen tier.

Automatic Renewal

Your subscription will automatically renew every month on the date of your initial subscription. This ensures uninterrupted service delivery and continuous optimization of your digital presence. You will be charged the monthly subscription fee automatically using the payment method you provided at signup.

6-Month Minimum Commitment

All subscriptions require a minimum commitment of 6 months. This lock-in period allows us to deliver meaningful results through consistent strategy implementation, content creation, and SEO optimization. Digital marketing requires time to show results, and this commitment ensures we can build a strong foundation for your online presence.

After the initial 6 months, your subscription continues on a month-to-month basis, and you can cancel anytime with 30 days' notice.

Ownership Transfer After 6 Months

Upon completion of the 6-month commitment period, you receive full ownership of your website and all digital assets we've created. You can choose to continue our services for ongoing optimization and support, or take complete control of your assets and host them independently.

Flexibility to Upgrade

As your business grows, you can upgrade to a higher-tier package at any time. We'll prorate your current subscription and seamlessly transition you to enhanced services that match your evolving needs.

Client Engagement Agreement

This Client Engagement Agreement (the "Agreement") is entered into as of the date of subscription (the "Effective Date"), by and between:

("Service Provider"), a marketing and web development agency
AND
The Subscribing Client
("Client"), as identified in the subscription form
(Collectively, the "Parties")

1. Introduction

This Agreement sets forth the terms and conditions under which the Service Provider will provide web development and digital marketing services to the Client based on their selected subscription package.

2. Scope of Services

The Service Provider agrees to provide services according to the Client's selected subscription tier. Services may include, but are not limited to:

  • Website Development and Management
  • Local SEO Optimization
  • Google Business Profile (GMB) Management
  • Content Writing (On-site Blogs, GMB Updates, Social Media)
  • Social Media Branding and Management
  • Online Review Management (Yelp, Google Reviews)
  • Paid Advertising Campaign Management
  • Advanced SEO Techniques (GEO, AEO, AI SEO)
  • Monthly Analytics and Strategy Reporting

The specific services included will depend on the Client's selected subscription package. The exact scope, frequency, and deliverables for each service will be detailed in the selected package description on the Doc4Website website.

3. Subscription Packages and Domain

3.1. Package Selection

The Client selects a subscription package from the available tiers on the Doc4Website website. Each tier offers different levels of service, features, and pricing.

3.2. Domain Connection

The website developed by the Service Provider will be connected to the Client's purchased domain name throughout the subscription period. The Client is responsible for purchasing and maintaining ownership of their domain.

3.3. Upgradable Tiers

As the Client's business grows, they may upgrade to higher subscription tiers at any time to access additional features and services. Upgrades will be prorated based on the remaining period of the current subscription.

3.4. Additional Customization

Custom features or services not included in the standard package can be added at an additional cost, subject to mutual agreement and a separate work order.

4. Fees and Payment

4.1. Subscription Fees

The Client shall pay the Service Provider the monthly subscription fee according to the selected package tier. Pricing details are available on the Doc4Website website and are subject to change with 30 days' notice.

4.2. Payment Terms

All payments are due upfront at the beginning of each billing cycle (monthly or as specified in the package). Payments shall be made in United States Dollars (USD) via the payment method specified during subscription.

4.3. Paid Advertising Expenses

If paid advertising services are included in the selected package, the Client understands that all advertising spend (e.g., Google Ads, social media ads) will be paid directly by the Client to the respective advertising platforms. The Service Provider's fee covers campaign management and optimization only, not the actual ad spend.

5. Term, Lock-In Period, and Ownership Transfer

5.1. 6-Month Lock-In Period

This Agreement requires a minimum commitment period of six (6) months from the Effective Date (the "Lock-In Period"). During this period, the Client agrees to maintain their subscription and cannot terminate the Agreement except as provided in Section 5.3.

5.2. Website Ownership Transfer

Upon successful completion of the 6-month Lock-In Period and fulfillment of all payment obligations, the Client will receive full ownership of the website and all associated digital assets created during the engagement. The Service Provider will assist in transferring the website to the Client's preferred hosting provider at no additional cost.

5.3. Post Lock-In Period

After the 6-month Lock-In Period, the subscription will continue on a month-to-month basis unless either party provides written notice of termination at least thirty (30) days in advance. The Client may choose to continue receiving ongoing services or take full control of their website assets.

5.4. Early Termination

If the Client wishes to terminate the Agreement before the end of the 6-month Lock-In Period, they must provide written notice and may be subject to an early termination fee equal to 50% of the remaining subscription fees for the Lock-In Period, unless termination is due to a material breach by the Service Provider as outlined in Section 5.5.

5.5. Termination for Cause

Either Party may terminate this Agreement immediately if the other Party fails to fulfill its material obligations. The Client may terminate without penalty if the Service Provider demonstrably fails to provide services as agreed. The Service Provider may terminate if the Client fails to make timely payments after a 15-day grace period.

6. Monthly Reporting and Strategy

The Service Provider will provide monthly performance reports and analytics to the Client, including website traffic, SEO rankings, social media engagement, and other relevant metrics. These reports will be accompanied by a strategic discussion to plan content, campaigns, and optimization strategies for the upcoming month.

7. Client Responsibilities

The Client agrees to:

  • Provide timely access to necessary business information, branding materials, and content as required for service delivery
  • Maintain ownership and renewal of their domain name
  • Respond to Service Provider requests and feedback within reasonable timeframes
  • Make timely payments according to the agreed schedule
  • Provide feedback and approval on deliverables within agreed timelines

8. Confidentiality

Both Parties agree to keep confidential any proprietary or sensitive information disclosed during the course of this Agreement, including but not limited to business strategies, client information, pricing details, technical processes, and operational methods. This obligation shall survive the termination of this Agreement.

9. Intellectual Property

9.1. Work Product

Upon full payment for services and completion of the 6-month Lock-In Period, all custom website code, designs, and content created specifically for the Client shall become the Client's property. The Service Provider retains the right to use generic code, frameworks, and methodologies for other projects.

9.2. Portfolio Rights

The Service Provider reserves the right to showcase the Client's website and marketing materials in its portfolio and marketing materials, unless the Client explicitly requests otherwise in writing.

10. Limitation of Liability

The Service Provider's total liability to the Client for any claims arising from this Agreement shall not exceed the total fees paid by the Client during the six (6) months preceding the claim. The Service Provider shall not be liable for indirect, consequential, or incidental damages.

11. Dispute Resolution

Any disputes arising from this Agreement shall first be attempted to be resolved through good-faith negotiation between the Parties. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of a mutually agreed-upon arbitration service. The arbitration shall be conducted in English, and the venue shall be mutually agreed upon by both Parties.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction agreed upon by both Parties at the time of subscription, without regard to conflict of laws principles.

13. Service Level and Performance

The Service Provider commits to delivering services professionally and in accordance with industry standards. While specific results cannot be guaranteed due to the nature of digital marketing (algorithm changes, market competition, etc.), the Service Provider will make commercially reasonable efforts to achieve the goals outlined in the monthly strategy discussions.

14. Entire Agreement

This Agreement, together with the selected subscription package details on the Doc4Website website, constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements relating to the subject matter hereof.

Agreement Acceptance

By subscribing to a Doc4Website service package, the Client acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Client Engagement Agreement.

By completing the subscription process, the Client accepts this agreement electronically.
